1. Definitions

• "Services": Refers to the SaaS platform MasterDexter, the website hemansai.com, and any related features, tools, or content provided by HemansAI.
• "You" or "User": Refers to you, the individual or entity accessing or using the Services.
• "User Content": Refers to any data, text, images, or other materials you upload, create, or share through MasterDexter.

2. Services

HemansAI provides MasterDexter, a SaaS platform that enables users to access AI-driven tools and features for creating, managing, and analyzing AI-powered projects. The Services may include, but are not limited to, creating and editing content, collaborating with others, and storing data. We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice.

3. Eligibility

To use the Services, you must be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher. By using the Services, you represent and warrant that:

• You are at least 18 years old.
• You have the legal capacity and authority to enter into these Terms.
• Your use of the Services complies with all applicable laws and regulations.

4. Account Creation and Security

To access certain features of MasterDexter, you may need to create an account ("Account"). You agree to:

• Provide accurate, complete, and current information during Account creation.
• Maintain the confidentiality of your Account credentials, including your password.
• Be responsible for all activities under your Account.
• Notify us immediately at contact@hemansai.com of any unauthorized use of your Account or security breach.

We reserve the right to suspend or terminate your Account if we suspect fraudulent activity, misuse, or violation of these Terms.

5. Fees and Payment

Certain features of MasterDexter may require payment. If you choose to use paid Services, you agree to the pricing and payment terms displayed at the time of purchase. Payments are processed securely by Razorpay, a third-party payment gateway, in accordance with its Terms of Use, available at https://razorpay.com/terms/. Key payment terms include:

• Fees are non-refundable unless otherwise stated.
• We may change pricing at any time, with notice provided via the Services or email.
• Failure to make timely payments may result in suspension or termination of your access to paid Services.
• If your access to the Services is terminated due to a violation of these Terms, you will not be entitled to a refund of any fees paid.

6. User Content and Conduct

You may upload, create, or share User Content through MasterDexter. You are solely responsible for your User Content and its consequences. You agree not to upload or share User Content that:

• Infringes any third-party intellectual property, privacy, or proprietary rights.
• Violates any applicable law or regulation, including Indian laws.
• Is defamatory, libelous, harassing, or harmful to any person or entity.
• Is pornographic, obscene, or sexually explicit.
• Promotes violence, hatred, or discrimination based on race, gender, religion, or other protected characteristics.
• Contains viruses, malware, or other harmful code.

HemansAI reserves the right to review, remove, or restrict access to User Content that violates these Terms or is otherwise objectionable, at our sole discretion, without prior notice.

7. Intellectual Property

All intellectual property rights in the Services, including MasterDexter, its software, design, and content (excluding User Content), are owned by HemansAI or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use MasterDexter for its intended purpose, subject to these Terms. This license does not permit you to:

• Copy, modify, distribute, or reverse-engineer any part of the Services.
• Sublicense, sell, or make the Services available to third parties.
• Use the Services for any unlawful or unauthorized purpose.

You retain ownership of your User Content but grant HemansAI a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content to provide and improve the Services.

8. Prohibited Activities

You agree not to engage in any of the following activities while using the Services:

• Attempting to gain unauthorized access to the Services or related systems.
• Using the Services to transmit spam, phishing, or unsolicited communications.
• Interfering with or disrupting the integrity or performance of the Services.
• Using automated tools (e.g., bots, scrapers) to access or extract data from MasterDexter without permission.
• Impersonating any person or entity or misrepresenting your affiliation.

Violation of these prohibitions may result in immediate suspension or termination of your access to the Services.

9. Disclaimer of Warranties

The Services, including MasterDexter, are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. HemansAI does not warrant that:

• The Services will be uninterrupted, error-free, or secure.
• Any defects or errors will be corrected.
• The Services will meet your expectations or requirements.

You use the Services at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, HemansAI, its affiliates, officers, directors, employees, or agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of the Services. Our total liability for any claim under these Terms will not exceed the amount you paid for the Services in the six (6) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless HemansAI, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising from:

• Your use of the Services in violation of these Terms.
• Your User Content or its use by HemansAI as permitted herein.
• Your violation of any third-party rights or applicable laws.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or for any other reason at our sole discretion. You may terminate your Account by contacting us at contact@hemansai.com. Upon termination:

• Your license to use the Services will cease.
• We may delete your User Content, subject to our Privacy Policy.
• No refunds will be provided for any prepaid fees.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from or related to these Terms or your use of the Services will be resolved exclusively in the competent courts in Indore, Madhya Pradesh, India. You agree to submit to the jurisdiction of these courts.

14. Changes to These Terms

HemansAI may update these Terms from time to time to reflect changes in our Services or legal requirements. We will notify you of material changes by posting the updated Terms on our website or MasterDexter platform. Changes are effective immediately upon posting. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.
